1. Seller and scope
Parsell is operated by Century Box Mainetti, Rue de Thyle 29, 1495 Villers-la-Ville, Belgium; company number 0795.565.987; VAT BE0795565987; info@parsell.eu; +32 71 87 49 13. Offers are intended for buyers acting for their professional activity. The buyer confirms that purpose and authority to bind their business. A B2B label never removes mandatory consumer protection where it legally applies.
2. Orders and contract
Before ordering, check references, dimensions, colours, quantities, printing, addresses and totals. The contract concerns the selection and terms accepted when ordering; specific written agreements prevail for their agreed points. The automatic email acknowledges receipt, not payment or artwork approval. Unavailability or an obvious error is promptly discussed; no substitution or increase to an accepted price is imposed without agreement. Amounts for unperformed services are refunded where termination is justified.
3. Prices, discounts and tax
Prices are in euros excluding VAT unless explicitly marked inclusive. Pack quantities, printing, design review, dispatch priority, freight and applicable contributions are detailed before confirmation. Account benefits and codes follow their displayed conditions; stacking applies only where shown in the order summary. Intra-EU zero rating requires an eligible transaction, a valid VAT number and evidence of movement to another member state. VIES alone does not establish exemption. Uncertainty is reviewed before invoicing and established overpayments are corrected. The buyer supplies accurate tax details.
4. Payment and invoices
Full payment is required before dispatch and custom production unless agreed otherwise in writing. Available payment methods are those offered at checkout. Card details are handled by the payment provider, not stored in full by Parsell. Bank transfers must include the order reference. An order confirmation is not a paid invoice. Invoices and corrections comply with applicable tax and, where required, electronic invoicing rules.
5. Late business payment
Unless valid special terms have been agreed, late commercial payments are governed by the Belgian Act of 2 August 2002: the applicable statutory interest and statutory €40 recovery compensation where legal requirements are met, plus other reasonable legally recoverable costs without double recovery. Any suspension of further performance must be proportionate and communicated. Mandatory law prevails.
6. Artwork, rights and print approval
The buyer checks text, logos, sizes, print areas, colours and rights to supplied content, licensing only reproduction needed for the order; ownership of their files remains theirs. Screen colours and 3D views are indicative, not a contractual print proof. AI/EPS files may require a compatible image preview. Where requested, written proof approval is required before production. Changes after approval may affect price or timing, subject to prior agreement. Optional technical design review is charged once per order at 5% of the discounted net personalised items, minimum €5 and maximum €50. It does not check intellectual property or commercial accuracy. Buyer responsibility does not cover production errors attributable to the seller.
7. Specifications and use
The ordered variant determines size, colour, pack and options. Minor screen, material or process differences are not automatically defects; no unagreed numeric tolerance is imposed. Expressly accepted specifications remain binding. The buyer checks suitability for the intended use; no food-contact suitability, specific strength or certification is promised without an explicit product statement or written confirmation. Order a sample when fit or shade is critical.
8. Dispatch, collection and lead times
These are dispatch, not delivery times: standard 3 days unprinted or 18 days printed; express 48 hours or 12 days printed; ultra-express 24 hours unprinted or 7 days only when all printing is hot foil. Express adds 30% and ultra-express 75% of discounted net article value, excluding freight and tax. Timing starts after confirmed payment, availability and any required print approval. Carrier transit time is additional. Particular constraints and known delays are communicated; an essential deadline must be agreed in writing before ordering. Collection has no freight charge, after readiness notification. Substantial delay remains subject to contractual and legal remedies.
9. Receipt, complaints and returns
Inspect parcels on receipt and record visible damage with the carrier. Report apparent discrepancies to info@parsell.eu, preferably within 8 days, with reference, photos and affected quantities. Hidden defects must be reported within a reasonable time after discovery; the apparent inspection window does not remove mandatory rights or hidden-defect remedies. Keep goods and packaging for examination. Arrange returns in writing. Seller-attributable non-conformity is addressed through appropriate repair, replacement or refund and necessary return costs; convenience B2B returns and their costs require prior agreement.
10. Right of withdrawal – Business customers (B2B)
Sales to business customers acting in the course of their trade or profession do not, in principle, carry a statutory right of withdrawal.
A confirmed order is firm and final, subject to applicable mandatory law.
Cancellation, amendment or return for convenience requires Century Box Mainetti’s prior written agreement.
Personalised, printed or customer-specified products cannot be cancelled or returned merely because the customer changes their mind, unless otherwise agreed in writing.
These provisions do not affect the customer’s statutory rights in the event of defects, non-conformity or failure to perform the contract. Any exceptional right of withdrawal under mandatory law remains applicable under its statutory conditions and time limits.
11. Agreed changes, cancellations and samples
Send requests promptly to info@parsell.eu with the order reference. Silence does not constitute agreement. An accepted amendment requires written confirmation of its scope, price and effect on lead times before it is carried out.
If a cancellation for convenience is accepted, only work performed, irreversible commitments and substantiated losses legally due may be charged, less avoided costs and amounts already paid; no automatic disproportionate penalty applies. This does not restrict remedies for a seller’s breach.
Sample credit is issued under the service rules after payment is confirmed: the actual sample amount paid excluding VAT after discounts, in a unique code usable once on an eligible order by its beneficiary. It does not reimburse VAT or shipping and cannot be exchanged for cash.
12. Title, liability and exceptional events
Goods remain the seller’s property until full payment to the extent legally permitted. Unless particular carriage terms are agreed, risk transfers on handover to the buyer or a carrier independently appointed by the buyer. Each party remains responsible for attributable breaches and takes reasonable steps to mitigate loss. No clause excludes fraud, gross negligence, death or personal injury, or deprives an essential obligation of its substance. Force majeure is notified and its effects mitigated; lasting impossibility leads to discussion of adaptation or termination and adjustment for unperformed services.
13. Data, evidence and disputes
The privacy policy explains data processing. Marketing reminders are optional and revocable, separate from necessary account/order emails. Electronic records are rebuttable evidence, not declared conclusive. New terms do not retrospectively change existing orders. An unenforceable clause does not invalidate the others or justify a manifest imbalance. First contact info@parsell.eu for an amicable solution. Belgian law applies subject to mandatory law and conflict rules; competent Brussels courts are agreed only to the extent legally permitted, preserving mandatory remedies. Language versions are interpreted consistently with the terms actually presented and accepted.
